End User License Agreement (EULA) for the Kinematics Software ASOM

Important notice
This End User License Agreement (“EULA”) governs the use of the kinematics software ASOM, in particular ASOMv10, ASOMv7 and ASOMmini (the “Software”), of info-key GmbH & Co. KG, Hermann-Ehlers-Straße 21, 42109 Wuppertal, Germany (“info-key”).
By agreeing to this EULA during installation or when starting the Software for the first time, you accept it. If you do not agree, you may not install or use the Software.
The “Licensee” is the company, public authority or educational or research institution that has concluded the license agreement with info-key and enables you to use the Software. Your use is governed primarily by the contract concluded with the Licensee and info-key’s General Terms and Conditions (available at https://asom.eu/en/terms-and-conditions/). This EULA summarizes the rules relevant to you as a user; in the event of any conflict, the contract and the General Terms and Conditions take precedence. If info-key has provided you with separate terms of use expressly designated as such together with your license, they take precedence over this EULA.
1. License and activation
1.1 Use of the Software requires valid license data (name or company name and product code, together the “license key”) or a valid license file provided by info-key to the Licensee or to you.
1.2 The Software is activated via info-key’s licensing system:
(a) ASOMv10 and ASOMmini are activated online via info-key’s license server. During activation, including a preceding query of the license details, the license key entered (name or company name and product code), information on the product and license type and the host ID (computer identifier) are transmitted to the license server, which checks the license key and then activates the license; for technical reasons, the IP address is also transmitted. For network licenses, the Licensee’s license server establishes a brief connection to info-key’s license server once upon activation; in this case, the host ID of the Licensee’s license server is transmitted instead of the host ID of the individual computer. If an internet connection is not possible or not permitted, activation takes place offline by exchanging files between the Licensee and info-key; the license key and the host ID are transmitted in this case.
(b) For ASOMv7, info-key provides the Licensee with a license file, which is issued for the host ID (computer identifier) provided by the Licensee and stored on the respective computer or in the Licensee’s network. No connection to info-key’s license server is required for this.
1.3 Any circumvention or manipulation of the license check, including any modification of license files, is prohibited.
1.4 In the event of material breaches of this EULA, info-key may refuse activation or block a license; the details are governed by the contract and the General Terms and Conditions or the separate terms.
2. Scope of use
2.1 info-key grants the Licensee a non-exclusive, non-transferable and – unless otherwise provided in the contract or the General Terms and Conditions – non-sublicensable right to use the Software within the scope of the license acquired; you may use the Software within this scope. The following applies:
(a) Single-seat license (node-locked): installation and use on one computer.
(b) Network license (floating): concurrent use by the contractually agreed number of users within the Licensee’s network. The license server is operated on a server of the Licensee – on a physical or a virtual machine – to which the license is bound upon activation. Operating the license server with cloud or hosting providers, for example on rented virtual machines, is not permitted (Section 2.2).
(c) Education, training and research license: use exclusively for teaching and studies, vocational training or non-commercial research within the contractually agreed scope; any commercial use is excluded.
2.2 The Software may be used for the Licensee’s own purposes; this includes creating work results, such as designs, calculations or models, for the Licensee’s own clients; for education licenses, this includes use by teachers and learners of the educational institution for teaching and studies. Use for the Licensee’s own purposes also includes use by employees, temporary agency workers and freelancers working for the Licensee, as well as installation and administration by IT service providers engaged by the Licensee, in each case exclusively for the Licensee’s purposes. It is not permitted to provide the Software, the license server or access to them to third parties or make them accessible to third parties, to operate them on third-party systems, for example with cloud or hosting providers, or to offer them to third parties as a service via the internet, unless expressly agreed. Operation on the Licensee’s own or leased hardware, even if located in a third-party data centre (colocation), does not constitute operation on third-party systems. The restrictions under Section 2.1 (c) remain unaffected.
2.3 Network licenses may only be used in the country in which the Licensee has its registered office, unless international or worldwide use has been agreed. The decisive factor is the location of the workstations at which the Software is used; if employees access it from workstations abroad, e.g. via VPN, this constitutes international use. This does not apply to temporary use during a business trip abroad of no more than 30 consecutive days by employees whose usual workplace is in the Licensee’s country.
2.4 All licenses are granted exclusively for a limited period, namely the agreed license term, usually as a fixed-term rental license; info-key does not offer perpetual licenses.
2.5 When using the Software, the applicable export control and sanctions regulations, in particular those of the Federal Republic of Germany and the European Union and, where applicable, the United States of America, must be observed. The Software may not be made available, directly or indirectly, to persons, companies or organizations where this is prohibited under these regulations, and may not be used in connection with nuclear, biological or chemical weapons or their delivery systems. Regulations of the United States must only be observed to the extent that this does not violate Council Regulation (EC) No 2271/96 or Section 7 of the German Foreign Trade and Payments Ordinance (AWV). In particular, the Software may not be taken to or used in Russia or Belarus.
3. Installation
You may install the Software as many times as permitted by the respective license and make a backup copy where necessary to secure future use. The Licensee is responsible for meeting the system requirements specified in the manual.
4. Restrictions
Unless mandatorily permitted by law (in particular under Sections 69d and 69e of the German Copyright Act), you may not
(a) copy the Software beyond the extent permitted under Section 3, or sell, rent, lend or otherwise make it available to third parties;
(b) disclose license keys, license files or access data to unauthorized persons;
(c) decompile, reverse engineer, disassemble or modify the Software;
(d) remove or alter copyright notices, trademarks or other identifying marks.
5. Rights in the Software
All other rights in the Software, in particular copyrights and trademark rights, remain with info-key or its licensors. You only acquire the rights of use granted in this EULA or in the contract.
The Software contains third-party open-source components, in particular libraries licensed under the GNU Lesser General Public License (LGPL) version 2.1 or 3, such as CSparse (CSparse.NET for ASOMmini), and under the Mozilla Public License 2.0 (MPL). The components included in the respective product variant and their licenses are listed in the “licenses” directory of the installation, which also contains the license texts. These components are governed primarily by their own license terms. info-key makes the source code of the components whose license so requires, in particular the LGPL and MPL components, available for download together with the Software. The restrictions of this EULA, in particular Section 4, apply to these components only to the extent permitted by their license terms. Where the license terms of a component so require, in particular Section 6 LGPL 2.1 and Section 4 LGPL 3, you may modify the Software for your own use, replace the libraries concerned with modified versions and reverse engineer the Software for debugging such modifications.
The Software also contains components of other manufacturers, in particular runtime components from Microsoft (Microsoft .NET Desktop Runtime, Microsoft Visual C++ Redistributable) and the FlexNet Publisher license management software from Flexera Software (Revenera). You receive a non-exclusive, personal and non-transferable right to use these components to the extent required for operating the Software in accordance with the contract. Where programs of other manufacturers use the same components, such as the installed runtime environment or a FlexNet Licensing Service, such use is governed by their license terms. The restrictions under Section 4 apply to these components accordingly; in addition, their technical limitations may not be circumvented. The rights granted to you by the license terms of the open-source components remain unaffected. The manufacturers of these components do not assume any warranty of their own towards you; the limitations of liability under Section 8 also apply in their favour. The connections the Software establishes for activation and the data transmitted in the process are described in Section 10.
6. Updates and support
Updates and support are governed by the contract concluded with the Licensee.
7. Calculation results
ASOM is software for conceptual design. Calculation results must be verified by independent checks before being used for real-world designs; the applicable technical standards must be observed.
8. Warranty and liability
8.1 Claims for defects in the Software are available to the Licensee under the contract and the General Terms and Conditions or the separate terms. Towards you, info-key is liable for slightly negligent breaches of material obligations only for the foreseeable damage typically occurring; material obligations are those whose fulfilment makes the proper use of the Software possible in the first place and on whose observance you may regularly rely. Otherwise, info-key’s liability towards you for slight negligence is excluded.
8.2 In all cases, liability for intent or gross negligence, for injury to life, body or health, under the German Product Liability Act and under Art. 82 GDPR, for fraudulently concealed defects and to the extent of an assumed guarantee remains unaffected.
9. Termination
The right of use ends automatically upon expiry of the license or the underlying contract. In the event of a material breach of this EULA, info-key may block the license (Section 1.4) and terminate the contract with the Licensee for good cause in accordance with the contract and the General Terms and Conditions or the separate terms. Upon termination, the Software must be uninstalled and its use discontinued.
10. Data protection
To activate and manage the license, info-key processes the data mentioned in Section 1.2; for ASOMv7, this is the host ID provided for creating the license file. The license server is operated by info-key; no data is transmitted to Flexera Software (Revenera) in the process. Where the Software includes an update check and it is enabled or you search for updates manually, the Software retrieves the current version number from a server under asom.eu and, if applicable, points out the new version; only the technically necessary connection data is transmitted, in particular the IP address. The update check can be disabled in the program settings. Beyond this, the Software does not transmit any usage or project data to info-key or third parties. 11. Final provisions
11.1 The laws of the Federal Republic of Germany apply, excluding the UN Convention on Contracts for the International Sale of Goods. Towards consumers, this choice of law applies only insofar as mandatory consumer protection provisions of the country of their habitual residence do not conflict.
11.2 For disputes between info-key and the Licensee, the place of jurisdiction is governed by the contract and the General Terms and Conditions. Otherwise, the statutory places of jurisdiction apply.
11.3 Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected.
11.4 The German version of this EULA shall prevail.
